Cabre Capital Corp. (the “Corporation”), a Vancouver-based Capital Pool Company listed on the TSX Venture Exchange (the “Exchange”) (symbol: CCB.P), announces that it has entered into a letter agreement (the “Letter Agreement”) effective January 19, 2011 with Northcliff Resources Ltd. (“Northcliff”) to purchase all of the issued and outstanding common shares of Northcliff (the “Acquisition”).
